The last time I checked, the Windsor/Fox swap oil pan and pickup was around 140 bucks...then, you're gonna need a cowl hood to clear the taller engine, most likely.
Figure on about 2500 bucks if you're gonna go EFI...cause they ain't very many cars to roll out the doors with efi 351w under the hood...only one that comes to my mind is the 95 Cobra R stang...and you aint gonna get one of them sumbucks, since only 250 were ever made...and most are socked away under lock and key. You'll end up using aftermarket intakes, and you'll have to run a mass-air setup for those, as they are not for a "stock" engine managment, ie: speed density. Might as well forget the 351w unless you really got some bucks to toss at it, I've looked into this a lot, and it's pricey.
If 400 bucks is your budget, the local syards, and find a cheap 5.0 from a truck, 87 and up.
They already have the e7 heads, 19# injectors, AND dished pistons (think bigger cam later on down the road, without having to change pistons) you can sell the truck efi shiznit off of it, make a few bucks back.
It's so easy to set one up for HO, it's stupid not to.
Better performance than a carb anyway. Yeah, I'd sure use efi.
I've got about 400 bucks tied up so far in my HO swap/conversion...and that's countin Chuck's mounts too.
No real reason why not to go efi..it's actually easier than doing the carb...plus, if you ever get the hood raised for emissions..they could very well nail ya with a big ticket. And it's more than 400 bucks most likely.
I paid 29 dollars shipped for an EEC, 85 bucks shipped for a complete HO upper and lower, with injectors, TB, egr, and iac, most of us know what Chuck's mounts run, and i've got a few bucks spent for gaskets already...granted, I need a cam, and wiring, and fuel lines, but those won't be too much..I bet I can probably pull all this off for around 5 hundred, and I'm even putting my T5 in it, so I also need a clutch, clutch cable, bell, and pedals. But I know where to get all those parts..and I've got set prices on all. I'm gonna be close to my 500 dollar prediction.
Nothin to it man..just shop around, deal with good people, and you got 'er made.

edit: so far, i've spent $285.00 bucks, but I still need cam, fuel lines and headlight/engine harnesses, as well as the V8 bell, clutch, clutch cable, and new clutch, PP, T/O bearing, and pilot bearing. W/o the cam, fuel lines, and harnesses, I'm up to 530 bucks...
87Fordboy...you are starting with a V6 car, right?
Don't forget to add on for mounts..IF you can find 'em, and a few other things, double hump cross member, some wiring, and either new fuel lines, or some adaptors and work to make yours fit.
Still sure ya wanna start with a V6 car?
AND....last of all, the closer to you that you can find a 5.0, the cheaper it will be to get it home.
